TERMS & CONDITIONS

1. “Platinum Membership"- means a Membershipperiod of 50 (fifty) years.

                                                                           

2. "Gold Membership"- means a Membershipperiod of 30 (thirty) years.

                                                                             

3. "Azure Blue Membership"- means a Membershipperiod of 20 (twenty) years.

                                                                           

4. "Persian Blue Membership”- means a Membershipperiod of 10 (ten) years.

                                                                           

5. "Starter Vacation Pack"- means a Membershipperiod of 5 (five) years. This membership is
     restricted to domestic accommodation bookings where the property is located within the boundaries of South Africa
     or Namibia.

                                 

6. "Dreams 2 Reality -“Diamond"- means a Membershipperiod of 4 (four) years. This membership is restricted to
     domestic accommodation bookings where the property is located within the boundaries of South Africa or Namibia,
     limited to:

                             

6.1.1. Three (3) bookings per year for domestic resorts, as listed on the ‘Resorts’ section of the GTANAM website;

6.1.2. Two (2) bookings for domestic specials, as listed on the ‘Specials’ section of the GTANAM website;
     www.gtanam.com.na

                                                 

7. “Dreams 2 Reality”-“Tanzanite”- means a Membershipperiod of 4 (four) years. This membership is restricted to
    domestic accommodation bookings where the property is located within the boundaries of South Africa or Namibia,
    limited to:

                             

7.1.1. Two (2) bookings per year for domestic resorts, as listed on the ‘Resorts’ section of the GTANAM website;

7.1.2. One (1) booking for domestic specials, as listed on the ‘Specials’ section of the GTANAM website;

8. “Dreams 2 Reality”-"Emerald"- means a Membershipperiod of 2 (two) years. This membership is restricted to domestic
    accommodation bookings where the property is located within the boundaries of South Africa or Namibia, limited to:

                             

8.1.1. Two (2) bookings per year for domestic resorts, as listed on the ‘Resorts’ section of the GTANAM website; AND

                                                       

8.1.2. One (1) booking for domestic specials, as listed on the ‘Specials’ section of the GTANAM website; www.gtanam.com.na.

                                                 

1.  INTERPRETATION:

                                                                                                   

1.1. In this agreement, unless inconsistent with or otherwise indicated by the context,

                                                                           

1.1.1. "AF"- means the Affiliation Fee payable by the Principal Member for the full membership period as per schedule 7 of the
     Service Agreement.

                                                 

1.1.2.   Bonus Years” – means years received in lieu of the holiday voucher.

                                                                           

1.1.3. "Document Fee"- means the once-off document processing fee asper schedule 7 of the Service Agreement.

                                                               

1.1.4. "Monthly Service Fee"- is a monthly fee payable by the member over an agreed time set out in schedule 7,
    towards the reduction of the membership purchase amount.

                                           

1.1.5. "Activation Fee"- means the amount payable by the Principal Member for activation of the GTANAM Membership
    Program as per schedule 7 of the
Service Agreement.

                                           

1.1.6.  "Transfer Fee"- means the fee payable by the Principal Member

                                                                               

upon cession of membership to a third party.

                                                                                 

1.1.7. “Active Member”- means a Principal Member that is up-to-date with all his/her payments.

                                                                     

1.1.8. "Member"- means the Principal Member and any other authorised users.

                                                                           

1.1.9. “Principal Member”- means the person whose name and details appears in Schedule 1.

                                                                     

1.1.10. "Commencement Date"- means the date of signature by the Principal Member.

                                                                         

1.1.11.  "CPI”- means consumer price index as published by stats Namibia.

                                                                           

1.1.12. "GTANAM"- means Ulva Island Investments (Proprietary) Limited, Registration No. 2013/1155, Trading as
    Global Travel Alliance Namibia (Proprietary) Limited.

                                               

1.1.13. "GTA/GTANAM website"- means www.gtasa.co.za and www.gtanam.com.na.

                                                                         

1.1.14. “Membership Period”- means the period which excludes the honorary membership and bonus years as per
    schedule 2.

                                                 

1.1.15.Honorary Membership”- means the additional years awarded tothe Principal Member over and above the
    Membership period
upon completion of the Membership Period and subject to all fees paidup to date and subject to the
    Terms and Conditions of the Service Agreement.

                         

1.1.16. “Full Membership Period”- means the sum total of the Membership Period, Honorary Period and Bonus Years
  
as per schedule 3 of the Service Agreement.

                                             

1.1.17. “Online Inventory”- means the Service Provider’s accommodation inventory or part thereof, made available to
    the
Principal Membervia a membership login facility.

                                           

1.1.18. “Preferred Suppliers”- means hotels, resorts, car rental agencies, airlines, cruise lines and any other travel-related
    inventory suppliers that are affiliated with the
Service  Provider.

                                         

1.1.19. “Rack Rate”- means the price that an establishment charges for a room before any discounts, specials, contracted
    rates or once-off rates have been taken into account.

                                           

1.1.20. “Real Time Rates”- means Preferred Suppliers’ rates that are valid for a stipulated period and constantly updated.

                                                   

1.1.21. “Service Agreement"- means Terms and Conditions and the Schedules attached thereto.

                                                                     

1.1.22.  Service Level Agreement”- means the agreement between the

                                                                             

Service Provider and the Preferred Supplier.

                                                                                   

1.1.23.  "Service Provider"- means companies and affiliates which GTANAM

                                                                             

and or GTASAhave service agreements with.

                                                                                 

1.1.24. “Outstanding Package Price”- is the amount outstanding on the membership purchase amount and any other
   amount due, which has not been paid on the commencement date.

                                         

1.1.25. “Peak Season”- means the festive season, Easter and all school holidays in Namibia and South Africa, including
    the peak seasons as recognised by the Namibian Tourism Board.

                                         

1.1.26. “Cede”- Ceded, Cession – means when the transferor irrevocably gives all his/her rights, benefits and obligations
    in terms of this agreement to the transferee and the transferee irrevocably accepts these rights, benefits and obligations and Global Travel Alliance Namibia also irrevocably agrees to honour and give effect to the above arrangement. To the extent that the name of the transferor can be replaced by the name of the transferee in respect of this agreement.

 

1.2. If a particular number of days is referred to in this agreement, such number of days shall be reckoned exclusive of
    the first day on which the event occurs, from which the number of days is to be reckoned and inclusively of the last
    day of the number of days which is specified. The days shall be Business days and excluding Public Holidays.

       

TERMS AND CONDITIONS

                                                                                             

1. WHEREASthe signatory hereto (hereinafter called the Principal Member) wishes to make use of these services, and
    applies for
Full Membership, to GTANAM, and should GTANAM approve his/her membership, such a Principal
    
Member agrees to abide to the Terms and Conditions of this agreement.

                 

2. AND WHEREAS the signatory hereto wishes to make use of these services, the Principal Member applies for
   
Membershipand enters into a Service Agreement with GTANAM, should GTANAMapprove his/her membership, such
    a
Principal Member agrees to adhere to the Terms and Conditions of this agreement.

               

3. AND WHEREAS GTANAM tries to present its full membership program fairly and honestly and endeavors to set out its
    Terms and Conditions in simple, clear and understandable English and the
Principal Member acknowledges that
     he/she signed the
Service Agreement voluntarily without any undue influence including but not limited to, staff
     members of
GTANAM and its duly authorized representatives.

 

4. AND WHEREAS the Principal Member will select a category of Membership, set out more clearly in the
   
Service Agreement, and agrees to make all payments specific thereto and abide by the Terms and Conditions
    applicable thereto.

                               

5. AND WHEREAS GTANAM a division of the Global Travel Alliance SA entered into an agreement with
    Global Travel Alliance SA whereby the latter would provide support service including but not limited to the use of
    their website.

                               

NOW THEREFORE the parties agree as follows:

                                                                                 

6. AFFILIATION FEES

                                                                                                   

6.1. The parties agree that membership is subject to the payment of an Affiliation Fee for the duration of the
    Full Membership Period. The
Affiliation Fee is set out more clearly in schedule 7 attached hereto, and is subject to an
    increase at a rate of no more than 12% per annum or the annual average CPI, whichever is the higher. This increase will
    commence on the 2nd year of membership from the date of signature of this
Service Agreement. (Affiliation Fee not
    applicable to Emerald Membership)

 

6.2. It is agreed that failure to pay the Affiliation Fee at any stage will result in the suspension of full membership. It is
   furthermore agreed that the
Principal Member will not be entitled to deduct any amounts that may, ostensibly or
   otherwise, become due to the
Principal Member by GTANAM as against the Affiliation Fee.

             

7. MONTHLY SERVICE FEE

                                                                                             

7.1. The parties agree that Full Membership is subject to the payment of a Monthly Service Fee in accordance with
    schedule 7. It is agreed that failure to pay the service fee at any stage will result in the suspension of full membership.
    The
Monthly Service Fee is set out more clearly in Schedule 7, attached hereto. It is furthermore agreed that the
   
Principal Member will not be entitled to deduct or set off any amounts that may, ostensibly or otherwise, become due
    by
GTANAMto the Principal Member against the Monthly Service Fee.

 

8. DOCUMENT FEE AND ACTIVATION FEE

                                                                                     

8.1. The parties agree that Full Membership is subject to the payment of a Document Fee and Activation Fee. Failure to
    pay these fees will result in the Full Membership not being activated. The
Document Fee and Activation Fee are set out
    more clearly in Schedule 7, attached hereto.(
Document Fee is agreed shall not apply to Emerald, Diamond and
    Tanzanite Membership.)

 

9. DEBIT ORDER AUTHORISATION

                                                                                       

9.1. It is agreed by both parties that the Principal Member hereby authorizes GTANAM to obtain all aforesaid payments
    by means of a debit order. The
Principal Member agrees to sign all authorisation documentation, as required by the
    banking fraternity, and will give no less than two (2) weeks written notice if he/she wishes to change his/her banking
    details or institution, and will once again authorize
GTANAM to obtain all aforesaid payments by debit order. Failure
    to provide
GTANAM with the necessary authorisation will result in legal action in terms of the breach clause set out
    herein below.

 

10. MEMBERSHIP ACTIVATION

                                                                                         

10.1. If the Principal Member fails to provide all his/her details as requested by GTANAM at the commencement date, it
      is agreed that the
Principal Membercannot be activated. Under these circumstances it is agreed the the
     
Principal Member will timeously forward the additional and or any information required by GTANAM to
      clients@gtanam.com.na, or fax +27 86 234 3398. It is agreed under these circumstances that the
Principal Member
     
will allow GTANAMa reasonable time to activate his/her membership. Otherwise it is agreed that the
      
Principal Member will be activated as soon as reasonably possible whereupon he/she will be entitled to all the
      benefits of the selected membership.

 

10.2. It is agreed that the Principal Member, will also be allocated an exclusive website password to access the
     
GTANAM website; www.gtanam.com.na.

                                               

 

        11. GUEST CERTIFICATES

                                                                                             

       11.1. It is agreed that the Principal Member is entitled to guest certificates as per schedule 2 of the Service Agreement,
             which is available on an annual basis for friends and extended family of the
Principal Member. It is agreed that guest
             certificates will not be available to SVP, Diamond, Tanzanite and Emerald Memberships, unless otherwise agreed by
             
GTANAMin writing.

 

         12. RESERVATION

                                                                                                     

        12.1. It is agreed that reservations requests via the GTANAM website and/or telephone may only be made by a responsible adult
               who is a Member
. It isagreed that Preferred Suppliers will only be accessed via the GTANAM website and/or by contacting
               GTANAM
directly. It is recorded that all reservations foraccommodation and travel will be subject to availability at all times
             . Furthermore,
all accommodation and travel reservations will be subject to the specific Termsand Conditions of each Preferred
               Supplier
. It is agreed between the partiesthat GTANAM will not be held liable for any warranties and/or representationsmade to
               the Member
by the Preferred Supplier.

 

       12.2. It is agreed that a reservation will only be secured, if all amounts payable by the Principal Member for travel services
             and/or accommodation is paid at the time of the reservation to
GTANAM and the Preferred Supplier. Equally it is agreed
             that a
Memberautomatically authorises GTANAM to make payments on his/her behalf to the Preferred Suppliers with
             regards to the reservation. It is further agreed that
GTANAMwill only make such a payment, if it has received proof Of
             payment by the
Principal Member, and monies have cleared on all parties’ bank accounts.

 

       12.3. Only a Principal Member may cancel a reservation, the aforementioned Principal Member may be held liable for a
             penalty by the
Preferred Supplieror the Service Provider. It is recorded that, should a Principal Member be liable for
             such a penalty, the
Principal Member will solely be responsible for the full payment of the penalty and GTANAM will not
             be responsible for the penalty or any contribution in relation thereto, irrespective of the cause thereof. Furthermore, under no
             circumstances does
GTANAM make any representations as to the nature and extent of any penalties as a result of
             cancellation in respect of any
Preferred Supplier.

 

                       13.AGENCY

                                                                                                             

       13.1. It is recorded that GTANAM does not, ostensibly or otherwise, act as an agent on behalf of any Preferred Supplier.
             Consequently
GTANAMcannot make any warranties on behalf of any Preferred Supplier and makes no warranties
             whatsoever in relation to their prices, rates, discounts, availability or in fact any services or quality of services provided
             by them. The
Principal Memberhereby indemnifies GTANAMagainst any claim, of any nature whatsoever, which may
             arise as a result of the
Memberusing the services of any Preferred Supplierthat was introduced to the Memberby
            
GTANAM. Furthermore GTANAM does not warrant the accuracy and correctness of any website linked to GTANAM,
             including but not limited to availability, discounts, nature and quality of services as well as the Terms and Conditions
             of each
Preferred Supplier. It is agreed that the Memberwill verify the correctness of all information set out on the
             aforesaid websites and thereby indemnifies
GTANAMof all misrepresentations in connection thereto.

 

       14. DISCOUNTS

                                                                                                         

      14.1. It is specifically recorded that no discounts will apply in respect of flights, notwithstanding any representation to the
             contrary,
GTANAM does not warrant a fixed discount percentage. Furthermore it is specifically recorded that discount,
             rates and prices will vary from time to time between different
Preferred Suppliers. It is further agreed that all discounts
             are based on “
Rack Rates” obtained from the Preferred Supplier. Notwithstanding the aforementioned, GTANAM makes
             no warranties in respect of any discounts of any nature whatsoever and will not be held liable by the
Principal Member
            
for any representations by Preferred Suppliers regarding discounts.

 

      14.2. It is agreed by both parties that small establishments, such as Guesthousesand B&B’s will return a smaller discount and or no
              discount at all. Both parties
agree that it is understandable under the circumstances, and is an exceptionto the general
              discount representation made by GTANAM.

                       

      14.3. It is agreed by both parties that unless the Principal Member provides GTANAMwith a 24 hour notice on a Domestic
            reservation request, giving
GTANAM sufficient time to source the best discount, GTANAM cannot be held accountable for
            any representations regarding maximum and or any discounts at all.

               

       15. PASSPORTS, VISA, VACCINATIONS

                                                                                     

            It is agreed that it will be the responsibility of the Memberto verify the correctness of all passports and visa requirements
            and/or any other entry requirements that may become applicable for each destination. It is agreed that the
Memberwill
            be responsible for his/her own vaccination as required by each destination and will therefore not hold
GTANAMliable for
            his/her failure to do so.

 

       16. BREACH OF AGREEMENT

                                                                                         

      16.1. It is agreed by both parties that the Terms and Conditions embodied in this agreement are all material
            Terms and Conditions. Should the
Principal Memberbreach any of the Terms and Conditions contained herein,
           
Global TravelAlliance Namibia, at its discretion, will have the right to terminate this agreement after having given the
            
Principal Member seven (7) days to remedy his/her default, and or Global Travel Alliance Namibia may at its discretion
            elect to:

 

      16.1.1.  Suspend and or cancel the Principal Members’ membership.

                                                                             

      16.1.2. Claim Damages.

                                                                                             

     16.1.3. Hold the Principal Member liable for legal costs, on a scale as between Attorney Client, in enforcing this agreement.

                                                   

     16.2.The parties agree that should the Principal Member breach any of the Terms and Conditions of this agreement. All
              amounts owing in terms of this agreement to
GTANAMwill immediately become due and payable; including but not
              limited to fees set out in clause 6, 7, 8 in the Terms and Conditions.

                 

     16.3. It is agreed by both parties that GTANAM may at its discretion, submit and maintain with any credit bureau the
             
Principal Members account payment profile for a period of up to 5 (five) years, for any adverse classification.

                                 

     16.4. It is agreed that should GTANAM suspend the aforesaid Principal Memberhe/she will not be entitled to any refund
              and or credit extension and that all monies already paid will be regarded as liquidated damages.

                                   

     16.5. Should a Principal Member be suspended, it is agreed that the Principal Member or any nominated beneficiaries and or
              guest certificate holders and or any other person associated with the aforesaid membership will not be entitled to access
              the
GTANAM website and or will not be entitled to receive any services rendered by GTANAM.

       

     16.6. It is agreed that GTANAM is entitled to charge maximum interest on damages, in accordance with prescribed rate of
              Interest Act, National Credit Act, the Usury Act, on all overdue amounts, calculated from due date, to receipt of payment.

                             

     16.7. It is agreed that the Principal Member if in breach of this agreement will be liable for all legal costs, including but not
              limited to collection commission, Attorney and own Client costs and or tracing charges.

                                   

      17. TERMINATION

                                                                                                     

     17.1. In the event that the Principal Member entered into this agreement as aresult of direct marketing it is agreed that the
                Principal Member
may withdrawfrom this agreement within (5) five working days by giving GTANAM written notice of his/her
                intention to do so at fax +2786 234 3389 or email;
clients@gtanam.com.na. In such an event it is agreed that the Member shall
              
forfeit all deposits and or amounts, (if any) paid to GTANAM.

 

     17.2. Subject to clause 23 hereinbelow, this Service Agreement shall commence on the commencement date and termintate on the expiration of the full membership period.

                                           

      18. NON-VARIATION

                                                                                                   

               It is agreed that the Terms and Conditions embodied in this agreement shall be the only agreement between the

               parties to such an extent that, should the parties wish to change or vary the Terms and Conditions of this agreement,
               the variation thereof shall be put in writing and signed by both parties. Further, for the purpose of this agreement, all
               verbal communications and/or agreements and/or representations made by the parties prior to the signing of this
               agreement shall be null and void and superseded by the Terms and Conditions of this agreement.

 

      19. NON-WAIVER

                                                                                                       

               Should GTANAM grant any indulgence or relax any of the Terms and Conditions of this agreement in favor of the
              
Principal Member, it is agreed that GTANAMwill not be prevented and/or precluded from enforcing its rights at any
               later stage in terms of this agreement.

                       

      20. JURISDICTION

                                                                                                     

               It is agreed that the magistrate’s court for the district Windhoek, Namibia, will have jurisdiction in respect of this
               agreement, irrespective of the amount of money involved.

                                             

      21. DOMICILIUM CITANDI ET EXECUTANDI

                                                                                   

               (The address where documents, notices and processes must be
               served.)

                                                                             

     21.1. GTANAM chooses its domicilium citandi et executandi as follows: BDO, 61 Bismarck Street, Windhoek, Namibia, 9000.

                                                       

     21.2. The Principal Member chooses his/her domicilium citandi et executandi asthe address set out in SCHEDULE 1 of the Service
                 Agreement.

                                                 

      22. TRANSFER OF MEMBERSHIP

                                                                                       

     22.1. Unless the written approval by GTANAM is obtained beforehand, it is agreed, that the Principal Member may not cede,
              transfer, alienate or bequeath his/her membership, until the aforesaid membership is paid up in full including but not
              limited to Service Fees,
Affiliation Fees, Document Fees and Activation Fees.

             

     22.2. Subject to clause 22.1 above the Principal Member will be entitled to transfer membership at any time to any third party
              (hereinafter called the ‘transferee’). In such an instance it is agreed that the
Principal Member will inform GTANAM,in
              writing, of his/her       intention to do so.

                     

     22.3. Such a notice must be sent to PO Box 27860, Windhoek, Namibia, 9000 and shall reach GTANAM no later than 21 days
              prior to the transfer date. Furthermore a
Transfer Fee shall be paid by the Principal Member to GTANAM. Furthermore
              the transferee shall be required to sign all the necessary documentation as required by
GTANAM in order to transfer the
              membership.

 

     22.4. Furthermore a Principal Member shall be entitled to bequeath membership to an heir. Provide that the transferee/heir
              agrees to all the Conditions of this agreement. The
Transfer Fee is set at N$1065 for the year 2014 and will escalate at
              a rate equivalent to the average Consumer Price Index Namibia on the 31st of December of the preceding year.

     

     23. RENEWAL

                                                                                                           

              Within 30 days but no later than 10 days before the expiration of the full membership period, the Principal Member
              
shall give his/her notice of intention, in writing, to terminate this agreement, failing which this agreement shall renew
              itself upon the same Terms and Conditions, with the exception that the
Principal Member shall not be liable for any
              other fees other than
Affiliation Fees. The Principal Member shall not be entitled to renew this agreement if
             
Global Travel Alliance Namibia at its discretion decides not to renew this agreement.

 

     24. UPGRADE

                                                                                                           

              It is agreed that the Principal Member is entitled to upgrade his/her membership at any point during the currency of this
              agreement, provided that all fees due and payable are paid up to date and the additional fees for the upgrade membership is agreed upon in writing.

                       

     25. OFFICE HOURS

                                                                                                     

              Read together with clause 5 above, it is agreed by all the parties that, there is a time difference between South Africa
              and Namibia during winter. Consequently this would affect office hours by one hour during winter, for this reason it is
             agreed that the
Memberwill hold GTANAM harmless for all consequences and or damages flowing from the differences
             in office hours during winter, including but not limited to delays in answering emails, and or telephone calls whichever
             the case may be. The
Memberagrees to conduct normal business with GTANAM, taking the above time difference into
             account during winter.
